Welcome to our platform ("Company", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your use of our website, software, applications, products, and services (collectively, the "Services").By accessing or using our Services, you agree to be bound by these Terms. • Automatic Renewal: At the end of each billing cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or we cancel it.
• Price Changes: We reserve the right to modify subscription fees at any time. Any price change will become effective at the end of the current billing cycle, with prior notice provided to you.
• Refunds: Except where required by the Competition and Consumer Act 2010 (Cth) (including the Australian Consumer Law), all paid Subscription fees are non-refundable. Nothing in these Terms excludes, restricts, or modifies any consumer guarantees you are entitled to under Australian law. [1]

3. Intellectual Property and User Content

• Our Content: Our Services, including all text, graphics, logos, code, software, and original content, are our exclusive property and are protected by copyright, trademark, and other intellectual property laws.
• User Content License: You retain ownership of any content you upload, submit, post, or store through the Services ("User Content"). By doing so, you grant us a worldwide, non-exclusive, royalty-free, perpetual, transferable license to use, host, store, reproduce, modify, and distribute that content solely to operate, maintain, protect, and improve our Services.
• Content Responsibility: You represent and warrant that you own or have the necessary rights to use and license your User Content, and that it does not infringe on any third-party rights.
• Restrictions: You may not copy, modify, distribute, sell, reverse engineer, or lease any part of our Services or included software without our prior written consent.

4. Copyright Infringement & Takedown Procedure. We respect intellectual property rights and respond to notices of alleged copyright infringement. If you believe your copyrighted work has been copied in a way that constitutes copyright infringement under the Copyright Act 1968 (Cth), please submit a written takedown notice to our designated agent containing:

• A physical or electronic signature of the copyright owner or authorized representative.
• Identification of the copyrighted work claimed to have been infringed.
• Identification of the material that is claimed to be infringing and its specific location on our platform.
• Your contact information, including address, telephone number, and email.

5. Prohibited Activities. You agree not to engage in any of the following prohibited actions:

• Violating any applicable local, state, national, or international law or regulation.
• Uploading or transmitting viruses, malware, logic bombs, or malicious code.
• Attempting to interfere with, compromise the system integrity, or decipher any transmissions to or from our servers.
• Scraping, data mining, or harvesting any data from the platform without explicit written authorization.
• Using the Services to generate or distribute spam, fraudulent content, or defamatory material.

6. Limitation of Liability

• "As Is" Basis: Except as expressly provided to the contrary in these Terms, and to the maximum extent permitted by law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis.
• Consumer Guarantees: Our Services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled to cancel your service contract with us and receive a refund for the unused portion, or compensation for its reduced value.
• Liability Cap: To the extent permitted by law, our liability for a breach of a non-excludable consumer guarantee is limited, at our option, to supplying the services again or paying the cost of having the services supplied again. In no event shall our total liability for all other claims exceed the total amount paid by you to us during the past 12 months. [1]

8. Governing LawThese Terms shall be governed, construed, and enforced in accordance with the laws of the State of New South Wales, Australia. You irrevocably submit to the exclusive jurisdiction of the courts of New South Wales and the Federal Court of Australia.

9. Changes to These TermsWe reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access our Services after those revisions become effective, you agree to be bound by the revised terms.
